Who we are, and agreeing to these terms

Memori is a flashcard study app for exam students, operated by Memori Ltd, a company registered in England and Wales (company no. 17318602) ("Memori", "we", "us" or "our"). You can reach us at info@memoristudy.com.

These terms apply to the Memori iOS app, this website (including the beta waitlist) and the Memori Shop. By creating an account or using the service, you agree to them. If you do not agree, please do not use Memori.

You must be at least 13 years old to use Memori. If you are under 18, you confirm that a parent or guardian has agreed to these terms on your behalf.

Our privacy policy explains how we handle your personal data and forms part of your agreement with us.

The service

Memori lets you create flashcards, acronym and mnemonic cards, study them with quizzes, Focus mode and spaced repetition, and sync your content across your devices. The core study features are free. A premium subscription adds further features such as subjects, full statistics and AI card generation, as described in the app at the point of purchase.

Beta

While Memori is in beta or early access, it is provided as a work in progress: features may change, break or be removed, and access (including beta codes and free shop content) may be time-limited or withdrawn. We recommend using the in-app export (Profile, then Download data) to keep your own copy of anything important.

Your account

You agree to give accurate information when you sign up, to keep your login details safe, and not to share your account. You are responsible for activity on your account. You can delete your account at any time in the app (Profile, then Delete account), which permanently removes your account and its data as described in the privacy policy.

Your content

You own the cards, sets and other content you create in Memori. You grant us the licence we need to operate the service: to store, process, back up, sync and display your content to you across your devices. We claim no other rights over it.

You are responsible for what you put into Memori. You confirm that you have the right to use any material you type in, paste, photograph or import, including material you submit to the AI features, and that your content is not unlawful. Do not import or reproduce copyrighted study materials you do not have the right to use.

AI features

Premium includes AI card generation from your notes. AI output can be wrong: generated cards may contain errors, omissions or outdated information, and you should check them against your own study materials before relying on them. AI features are subject to a monthly fair-use allowance, shown in the app, which resets each month; we may adjust the allowance to keep the feature sustainable.

Memori Shop

The Memori Shop offers ready-made card sets created by Memori and third-party providers. Shop content is licensed to you, not sold: when you obtain a shop set you get a personal, non-transferable licence to study it within Memori for as long as it remains in your library. You may edit your copy for your own study, but you may not share, redistribute, extract, resell or otherwise make shop content available to others, inside or outside the app.

Providers may update their sets over time; updates preserve your own study progress as described in the app. During the beta, some shop content is available for free or via codes; this is a promotional licence on the same terms and may end at launch.

Study content, whether from the Shop or generated by AI, is a study aid. We and our providers work to keep it accurate, but we do not guarantee that any content is complete, correct or up to date with the current syllabus, and we do not guarantee any exam result. Your exam preparation remains your responsibility.

Subscriptions, purchases and codes

Premium is a subscription (monthly or annual) purchased through Apple's App Store, at the price shown in the app before you buy. Subscriptions renew automatically unless you cancel at least 24 hours before the end of the current period; you can manage or cancel them in your App Store account settings. Payment, billing and refunds are handled by Apple under Apple's terms; to request a refund, use Apple's refund process.

We may issue promotional or access codes (for example beta or trial codes). Codes are limited to one use per account, may have expiry dates or usage caps, carry no cash value, and may be modified or withdrawn. A trial code sets your premium access to its own period; redeeming a further code replaces, rather than extends, that period unless we say otherwise.

Acceptable use

You agree not to:

• share, extract or redistribute paid content, or attempt to circumvent premium features, usage limits or content protections;
• reverse engineer, decompile or copy the app or service, except where the law allows it;
• scrape the service, probe or disrupt our systems, or attempt to access other users' data;
• abuse the AI features, including attempts to bypass the fair-use allowance or to generate unlawful content;
• use Memori for anything unlawful.

Availability and changes

We work to keep Memori available and your data safe, but we cannot promise the service will always be uninterrupted or error-free. We may change, suspend or discontinue features, and where a change materially reduces what you have paid for, we will tell you in advance where reasonably possible. The app stores your content on your device and syncs when online, and you can export your data at any time.

Suspension and ending the agreement

You can stop using Memori, or delete your account, at any time. We may suspend or close accounts that seriously or repeatedly breach these terms, or where we must do so by law; where fair and practical, we will warn you first. Cancelling or losing your account does not entitle you to a refund from us, as payments are handled by Apple.

Intellectual property

Memori, including the app, this website, our branding and shop content, is owned by Memori Ltd or its licensors and is protected by intellectual property law. Apart from the rights these terms give you (your own content, and your licence to study shop content), no rights are transferred to you.

Exam and professional body names that appear in Memori, such as IFoA, SP1, ACA or SQE, are the trade marks of their respective owners. We use them only to describe which syllabus or examination our study content relates to. Memori is not affiliated with, sponsored by or endorsed by the Institute and Faculty of Actuaries, ICAEW or any other examining body, and no examining body has reviewed or approved our content.

Our responsibility to you

Nothing in these terms excludes or limits our liability where it would be unlawful to do so, including for death or personal injury caused by our negligence, for fraud, or your statutory rights as a consumer.

Subject to that: we provide Memori for personal study use, and we are not liable for business losses; we are not liable for losses that were not a foreseeable result of our breaking these terms; and we are not responsible for exam outcomes or decisions you make in reliance on study content, whether created by you, generated by AI, or obtained from the Shop. Where we are liable to you, our total liability is limited to the amount you have paid us for the service in the 12 months before the claim arose (or £50 if you have paid nothing).

Governing law

These terms are governed by the law of England and Wales, and disputes can be brought in the courts of England and Wales. If you live elsewhere in the UK, you may also bring a claim in your local courts, and you keep any consumer protections that the law of your home country gives you and that cannot be agreed away.

Changes to these terms

We may update these terms from time to time, for example when we add features or the law changes. When we do, we will update the date at the top, and we will tell you about significant changes where appropriate. If you keep using Memori after a change takes effect, the updated terms apply.
